These Terms of Service ("Terms") govern your access to and use of kaizenailab.com (the "Site") and any content, functionality, or services offered on or through the Site by Kaizen AI Lab, operated by CVDH LLC ("Kaizen," "we," "us," or "our").

Read these Terms carefully before using the Site. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Site. By using the Site, you represent and warrant that you meet these requirements.

2. Permitted Use

The Site and its content are provided for your personal and business informational purposes. You may:

View and browse the Site for personal or business use
Print or download individual pages for your own reference
Share links to Site content
Quote brief excerpts with attribution to Kaizen AI Lab

3. Prohibited Conduct

You may not:

Use the Site for any unlawful purpose or in violation of any applicable law or regulation
Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site without our express written permission
Use the Site or its content to train artificial intelligence or machine learning models without our express written permission
Scrape, crawl, or use automated means to access the Site in a manner that imposes an unreasonable load on our infrastructure
Attempt to gain unauthorized access to the Site, accounts, computer systems, or networks connected to the Site
Introduce viruses, malware, or other malicious code
Misrepresent your identity or affiliation
Interfere with or disrupt the Site or servers
Reverse engineer, decompile, or disassemble any portion of the Site
Use the Site to transmit unsolicited commercial communications
Frame, mirror, or otherwise incorporate the Site into another website without our written permission

4. AI Crawler Policy

Kaizen AI Lab maintains a published AI crawler access policy in our robots.txt file. AI search crawlers that surface and cite content with attribution are permitted. AI training crawlers that ingest content for model training without attribution are prohibited. Use of our content for AI training without express written permission is a violation of these Terms.

5. Intellectual Property

All content on the Site, including text, graphics, logos, images, audio, video, software, and the compilation thereof, is the property of Kaizen AI Lab or its licensors and is protected by copyright, trademark, and other intellectual property laws.

"Kaizen AI Lab," "Kaizen Colony," and related logos are trademarks of CVDH LLC. Other trademarks referenced on the Site are the property of their respective owners.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for the purposes described in Section 2. All other rights are reserved.

6. User Submissions

If you submit content to the Site (e.g., contact form submissions, comments, ACRA assessment responses), you grant Kaizen AI Lab a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, and display that content for the purpose of operating the Site, providing services, and improving our offerings, subject to our Privacy Policy.

You represent and warrant that you own or have the necessary rights to submit any content and that your submission does not violate any third party's rights or applicable law.

7. Consulting Services

Kaizen AI Lab offers consulting services described on the Site, including AI Audits, AI Implementation, AI Compliance Training, and the AI Compliance Readiness Assessment (ACRA). Engagement of these services is governed by a separate written engagement agreement. The Site does not constitute an offer to enter into a consulting engagement; engagements are confirmed only by signed agreement.

8. No Legal Advice

Kaizen AI Lab provides AI consulting services. Although our founder is a licensed attorney, content on the Site and consulting services do not constitute legal advice and do not create an attorney-client relationship. Information about laws, regulations, or compliance requirements is provided for general informational purposes only and may not reflect the most current legal developments. Consult licensed counsel in your jurisdiction for legal advice specific to your situation.

9. No Professional Advice

Site content is provided "as is" for general information and does not constitute legal, accounting, tax, financial, medical, or other professional advice. Consult appropriate professionals before acting on any information from the Site.

10. Third-Party Links and Services

The Site may contain links to third-party websites and services (including acra.kaizenailab.com, cal.com, and others). We do not endorse and are not responsible for third-party content, products, services, privacy practices, or terms. Use of third-party sites is at your own risk and subject to their terms and policies.

11. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS. YOUR USE OF THE SITE IS AT YOUR SOLE RISK.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KAIZEN AI LAB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR ITS CONTENT, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Kaizen AI Lab and its officers, directors, employees, agents, affiliates, and licensors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) your violation of any applicable law.

14. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Site ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and governing law) shall survive.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts.

16. Dispute Resolution

Before filing any legal action, you agree to first contact us at [email protected] and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

17. Accessibility

Kaizen AI Lab is committed to making the Site accessible to people with disabilities. We follow the Web Content Accessibility Guidelines (WCAG) 2.2 Level AA where feasible. If you encounter accessibility barriers, contact [email protected] with the page URL and a description of the issue, and we will work to address it.

18. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy and any engagement agreement you sign, constitute the entire agreement between you and Kaizen AI Lab regarding your use of the Site and supersede any prior agreements on this subject matter.

20. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent change. Material changes will be communicated via the Site where practicable. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
